Taiwan AI Federated Learning Alliance Constitution (draft)

 

Chapter 1 General Provisions

Article 1           The name of the alliance is the Taiwan AI Federated Learning Alliance (hereinafter referred to as the alliance), and the  English abbreviation is “TAIFA” , Chinese abbreviated as “台發聯盟 “.

Article 2           This alliance takes the national administrative area as the organization area.

Article 3      This alliance was initiated by the Taiwan Artificial Intelligence Development Foundation (hereinafter referred to as the “project executor”) as a project, and invited the National Development Commission, the Ministry of Economy, the Ministry of Transportation, the Ministry of Health and Welfare, the Ministry of Science and Technology, and the Ministry of Culture as co-sponsoring agencies. And in accordance with the third point of the “Taiwan Joint Learning Industry Alliance Promotion Points” promulgated by the project executor’s board of directors, this charter is formulated and the project executor’s supervision is accepted.

Article 4         The vision of the alliance: unite the power of everyone to make Taiwan a world-renowned artificial intelligence island.

Article 5            The purpose of this alliance:

1、Promote joint learning to accelerate the development of artificial intelligence applications, promote cross-domain joint learning and application, drive industrial innovation and development and talent cultivation, and link international joint learning participation.

2、It is recommended that China’s domestic government, academia, and research institutes jointly invest in the research and development of key technologies for joint learning, provide high-quality joint learning services and development environment in the field, and carry out joint learning related policy suggestions.

3、Combine alliance members to jointly establish a high-trust data governance model and standard for joint learning.

4、Promote China’s joint learning standards and related operating mechanisms.

Article 6            The main tasks of the alliance are as follows:

1、Communication match and member publicity.

2、Promote cooperation and federated learning.

3、International exchanges and integration cooperation.

4、Trend observation and sharing of new knowledge.

5、Technical research and interface development.

6、Standardization research and standard promotion.

7、Open source and shared community.

 

Chapter 2 Membership

Article 7            The alliance may invite members, and the members are divided into the following three types:

1、Group members: Any organization, legal person group, company, business name, medical institution, school, or unincorporated group that agrees with the purpose of the alliance shall fill in the application for membership and be approved by the executive committee of the alliance and pay the membership fee. member. The group members appoint one member representative, and the delegation members exercise their membership rights. Group members should choose to join an alliance SIG of the alliance when joining the club.

2、Honorary group members: All associations, associations, government agencies and other non-profit organizations that agree with the purpose of the alliance can join by invitation by the alliance, fill in the member information form, free of membership fees, and the honorary group members designate liaison representatives to contact the alliance The pipeline.

 

3、Individual member: Any individual who agrees with the purpose of the alliance, fills in the application for membership, and is approved by the executive committee of the alliance and pays the membership fee, and then becomes an individual member of the alliance. Individual members are based on the principle of individuals whose organizations have not joined group members.

Article 8             Group membership rights:

1、The alliance’s various business and member services, academic/technical and industry trend reports, and other membership rights.

2、Priority to participate in the activities handled by the alliance (member assembly, alliance SIG and working group meetings).

3、Participate in the discussion of the alliance’s cooperation plans, specifications/standards, and policies, and act as the host of the plan/author of the listed documents.

4、Obtain the results of the alliance’s open source and cooperation projects in advance/priority.

5、Election/being elected as the chairman of the alliance, the convener of the alliance SIG, and the convener of the working group.

6、Use the Alliance/Affiliate Member Logo, list the promotion activities of the Alliance, and release press releases.

7、Implement, promote and use the standard results produced by the alliance in accordance with the charter of the alliance.

8、Designate a member representative to attend the general meeting.

The member representative mentioned in this constitution refers to the person designated by the group member and the member of the delegation body participates in the activities of the alliance. Not subject to the definition of Article 13 of the People’s Organization Law.

Article 9             Individual membership rights:

1. The alliance’s various business and member services, academic/technical and industry trend reports, and other membership rights.

2. Priority to participate in activities handled by the Alliance (Alliance SIG and working group meetings).

3. Obtain the results of the alliance’s open source and cooperation projects in advance/priority.

4. Implement, promote and use the standard results produced by the alliance in accordance with the charter of the alliance.

Article 10     Members (member representatives) have the obligation to abide by the constitution of the alliance, the resolutions of the executive committee, the resolutions of the general meeting and pay dues to maintain the operation of the alliance. They also have the obligation to participate in the operation of individual alliance SIGs and working groups to maintain the normal operation of each alliance SIG and working group.

Article 11        Members who have not paid their dues shall not enjoy membership rights. The first-year membership application must be paid within two months of receiving the payment notice; the renewal membership must be paid within two months of receiving the payment notice. The member may propose a grace period during the payment period, based on the principle of three months. Those who fail to pay within the time limit or make no request for grace will be deemed as automatic cancellation of membership or withdrawal.

Article 12       When a member (member representative) violates laws, regulations, or fails to abide by the resolutions of the general assembly, the decision-making committee may issue a warning or suspension of power. If the project is serious, it may be delisted by the resolution of the general assembly.

Article 13        A member who has one of the following circumstances is considered as a member:

1. Those who have lost their membership.

2. Those who have been removed by the resolution of the General Assembly.

Article 14         Members can declare their withdrawal to the Alliance with written reasons.

 

Chapter 3 Organization and Powers

Article 15       The Alliance is composed of the General Assembly, President, Vice President, Expert Advisory Group, Executive Committee, Secretariat, Alliance SIG (Special Interest Group), and issue research working group.

Article 16        This alliance holds a general meeting once a year. The functions and powers of the general meeting are as follows:

1. To formulate and change the charter of the major alliance.

2. Election and removal of members of the Executive Committee.

3. Discuss the amount and method of annual membership fees, business fees and other designated donations from members.

 

4. Discuss the annual project work plan, report, budget, and final accounts.

5. Discuss the delisting of members.

6. To resolve other important matters related to the rights and obligations of members.

Each item in the preceding paragraph shall be resolved by member representatives.

The scope of important matters in Paragraph 6 of Paragraph 1 shall be determined by the Executive Committee.

Article 17      The alliance has a president, and according to operational needs, the president will hire one of the member representatives as the vice president. The first president is invited by the project executor to serve as industry leaders, and the second president is nominated by members and appointed by the resolution of the general meeting. The president comprehensively supervises the conference affairs internally, represents the alliance externally, and serves as the chairman of the general assembly and the chairman of the executive committee. The term of office of the president is two years, and he may be re-elected. When the chairman is unable to perform his duties or has major difficulties in exercising his functions and powers, the vice chairman shall act as his agent. When the vice chairman is unable to act as an agent, the executive committee will nominate one person to act as an agent.

The president may hire a number of industry, government, academic and research talents who are both academic and competent to guide the alliance as the alliance’s expert consultants, and consult the expert consultants to make relevant suggestions.

The chairman, vice-chairman and expert advisors are all unpaid.

Article 18        The alliance has an executive committee composed of several executive members. The chairman, vice-chairmen, and conveners of the alliance SIG are ex officio members, and there are also open quotas for member representatives to be directly elected. The number of members directly elected by the member representatives shall be the same as the total number of the alliance SIG. The executive members are all unpaid, with a term of two years and eligible for reappointment. The members of the first executive committee are elected by members in the preparatory stage.

The responsibilities of the Executive Committee are as follows:

1. Examine the qualifications of members.

2. Resolve the establishment, change and abolishment of the alliance SIG, working group, and cooperation plan.

3. Decide on the convener/deputy convener of the first alliance SIG and the convener/deputy convener of the first working group.

4. Resolve that the Alliance’s project results, regulatory documents, and policy recommendations will be released to the public.

Members of the Executive Committee who have one of the following circumstances shall be dismissed immediately:

1. Those who have lost their membership.

2. Resignation for some reason is approved by the Executive Committee.

3. Those who have been removed or withdrawn.

4. One-half of the term of office has been exceeded during the suspension period.

Article 19     In order to promote AI innovation applications and industrial development in various fields, this alliance may establish an alliance SIG (Special Interest Group) based on the industry category. When this alliance is established, there should be five alliances SIG, including medical care, transportation, urban and rural, finance, manufacturing, cultural business, etc. , And may increase or decrease as needed in accordance with the resolution of the Executive Committee. Its mode of operation is formulated by the SIG of the alliance, and will be implemented after being reviewed by the executive committee, and the same applies when changes are made.

Each Alliance SIG has one convener. The convener is unpaid. The term of office is two years, and he can be re-elected. The first term is elected by the executive committee, and the second term is elected by the member representatives of the alliance’s SIG. A number of deputy conveners may be added as needed.

Article 20        The Alliance may set up an issue research working group to focus on the common issues of the major alliances. It is proposed by the secretariat or the SIG of each alliance and established after approval by the executive committee. Its operation mode is formulated by the working group and implemented after review by the executive committee, and changes are also made. same.

The convener of the topic research working group is unpaid, and the term of office is two years, and he may be re-elected. The first one is elected by election, and the second one is elected by the general meeting of members.

 

Chapter 4 Meeting

Article 21     There are two types of general meetings, regular meetings and ad hoc meetings, which are convened by the president. When convening, except for emergency ad hoc meetings, they should be notified in writing or by e-mail 15 days in advance.

Regular meetings are held once a year, and temporary meetings are held when the Executive Committee deems it necessary or at the request of more than one-fifth of the members.

Article 22     When a member representative cannot attend the general meeting in person, he may entrust another person to act as an agent in writing.

Article 23    The resolutions of the general meeting shall be implemented with the attendance of more than half of the member representatives and the approval of the larger number of attendees. However, resolutions on the following matters shall be agreed upon by more than two-thirds of the attendees.

1. Formulation and modification of the proposal charter.

2. Delisting of members.

3. Removal of the chairman and members of the executive committee.

4. Other important matters related to the rights and obligations of members.

Article 24    The Executive Committee shall convene once every six months, and may convene joint meetings or ad hoc meetings when necessary.

When convening the meeting in the preceding paragraph, except for an ad hoc meeting, a written notice shall be given seven days in advance. The resolutions of the meeting shall be made with the attendance of more than half of the members of the executive committee and the agreement of a larger number of attendees.

Article 25     Members of the Executive Committee shall attend the Executive Committee meetings.

 

Chapter 5 Funding and Accounting

Article 26     The funding sources of the alliance are as follows:

1. Entrance fee: The alliance does not charge an entrance fee.

2. Annual membership fee: one year for one year, which should be paid in one time within the time limit in accordance with Article 11.

1. Group members: NT$10,000 to NT$50,000.

a. Those with paid-in capital of 5 million (inclusive) or more: Annual membership fee of NT$50 million.

b. Paid-in capital less than 5 million: annual membership fee of NT$10,000 should be paid.

2. Honorary group members: exempt from paying membership fees.

3. Individual members: The annual membership fee is NT$2,500.

3. Project funds allocated by the project executor.

4. Donations for other designated projects by members.

5. Other income.

 Article 27    The fiscal year of the Alliance is based on the calendar year, from January 1 to December 31 of each year.

 

Chapter 6 Copyright, Patent Rights and Other Intellectual Property Rights

Article 28     For the convenience of management, all draft technical standards, technical reports or documents (products of the alliance), copyrights, patent rights, and other intellectual property rights produced by the Alliance shall be registered and owned by the project executor. The project executor manages it in accordance with the implementation of artificial intelligence research and the principles of open data.

Article 29     If the standard results produced by the Alliance involve a patent and the patent is an essential patent for the application and implementation of the standard, for any standard user, the project executor shall authorize the use of the patent under the principle of fair, reasonable and non-discriminatory treatment. And under this principle, properly exercise its rights and collect authorization money, and the authorization money collected should be designated for this project.

Article 30        The standard results produced by this alliance can be implemented, promoted and used by members under the authorization of the project executor. If non-members want to implement and use, they must be approved by the alliance’s general assembly/executive committee.

 

Chapter 7 Supplementary Provisions

Article 31   Matters not stipulated in this Articles of Association shall be handled in accordance with relevant laws and regulations.

Article 32   The rules governing the affairs of the Alliance shall be formulated by the Executive Committee.

Article 33   This Articles of Association will be implemented after being approved by the Alliance General Assembly, and sent to the project executor’s board of directors for review, and the same applies when it is changed.
